Role Overview
The Corporation Secretary is designated as Secretary to the DHA Board under Section 13 (3) of the Digital Health Act. This is a senior leadership position responsible for legal advisory, corporate governance, and board administration.
Key Responsibilities
Board Secretariat: Issue notices for meetings of the Board in consultation with the Chairperson.
Record Keeping: Keep in custody the records of the deliberations, decisions, and resolutions of the board.
Decision Transmission: Transmit decisions and resolutions of the Board to the Chief Executive Officer for execution and implementation.
Governance Advisory: Provide guidance to the Boards on their duties and responsibilities on matters relating to governance.
General Counsel: Perform such other duties as the Board may direct.
Requirements and Qualifications
Bachelor of Laws Degree (LLB) from a university recognized in Kenya.
Must be an Advocate of the High Court of Kenya.
Minimum of five (5) years’ experience as a Corporation Secretary or in a similar governance role.
Active membership in the Institute of Certified Secretaries of Kenya (CS-K) and in good standing.
Must meet the requirements of Chapter Six of the Constitution of Kenya.
Required Compliance Certificates

Certificate of Good Conduct from the Directorate of Criminal Investigation (DCI).
Compliance Certificate from the Higher Education Loans Board (HELB).
Tax Compliance Certificate from the Kenya Revenue Authority (KRA).
Current Self-Declaration form from the Ethics and Anti-Corruption Commission (EACC).
Clearance Certificate from a Credit Reference Bureau (CRB).
