Corporation Secretary and Manager – Legal Services

Kenya’s National Lottery is a national initiative designed to bring fairness, opportunity, and funding for good causes that move the country forward. The National Lottery Board is seeking a highly qualified professional for the role of Corporation Secretary and Manager – Legal Services. This is a critical leadership role responsible for the legal and secretarial functions of the board, ensuring the institution operates within the legal framework and adheres to the principles of corporate governance.

Key Responsibilities

• Spearhead the arrangement of the business of the Board and keep records of the proceedings.
• Act as the official Secretary to the Board.
• Provide advice on legal and corporate matters to the NLB through interpretation and writing legal opinions.
• Ensure compliance with statutes, regulations, and procedures.
• Formulate legal options and reports on various issues affecting the Board.
• Assist in formulating, vetting, reviewing, negotiating contracts, leases, agreements, and memorandums of understanding (MoUs).
• Review the Board’s legal framework and advise on levels of compliance.
• Coordinate the formulation and review of the NLB’s policies to ensure alignment with relevant laws and Government Circulars.
• Compile requisite information and evidence on legal matters involving NLB and issue proper instructions to the Office of the Attorney General.
• Oversee legal audits to measure the NLB’s level of compliance with various legal requirements.
• Identify legal risks and advise on effective mitigation measures.
• Spearhead the formulation, implementation, and review of departmental annual work plans, budgets, and procurement/asset disposal plans in line with performance targets.
• Oversee the implementation of principles of Corporate Governance, national policies, guidelines, and directives within the Department.

Requirements and Qualifications

• A cumulative period of twelve (12) years’ relevant work experience, with at least three (3) years at the level of Assistant Manager, Legal Services or in a comparable position.
• Master of Laws (LLM) Degree from a recognized Institution.
• Bachelor of Laws (LLB) Degree from a recognized Institution.
• Certified Public Secretary of Kenya (CPSK) qualification.
• Post-graduate diploma in Law from the Kenya School of Law.
• Admission as an Advocate of the High Court of Kenya.
• A valid practicing certificate from the Law Society of Kenya.
• Certificate in a Leadership Course lasting not less than four (4) weeks from a recognized Institution.
• Membership of the Law Society of Kenya (LSK) in good standing.
• Proficiency in computer applications.
