Role Overview
The Corporation Secretary and Head of Legal Services is a senior role within the Agency, responsible for providing legal and governance leadership. The position is designated as the Secretary to the DHA Board, ensuring that the agency operates within the legal framework established by the Digital Health Act and maintains the highest standards of corporate governance.
Key Responsibilities
Board Secretariat: Serve as the Secretary to the DHA Board in accordance with Section 13 (3) of the Digital Health Act.
Meeting Coordination: Consult with the Board Chairperson to issue official notices for all Board meetings.
Record Keeping: Act as the custodian of all records concerning board deliberations, decisions, and resolutions.
Operational Transmission: Formally transmit Board decisions and resolutions to the Chief Executive Officer for execution and implementation.
Governance Advisory: Provide ongoing guidance to the Board members regarding their legal duties, responsibilities, and overall governance matters.
Strategic Support: Perform any other duties as may be directed by the Board from time to time.
Job Requirements
Educational Background: A Bachelor of Laws Degree (LLB) from a university recognized in Kenya.
Legal Certification: Must be an Advocate of the High Court of Kenya.
Professional Experience: A minimum of five (5) years of professional experience serving as a Corporation Secretary or in a similar high-level governance role.
Professional Membership: Active membership in the Institute of Certified Secretaries (ICS) of Kenya and in good standing.
Constitutional Compliance: Must fulfill the integrity requirements of Chapter Six of the Constitution of Kenya.
