Role Overview
The Assistant Director, Legal (Legal Services Division) at the Kenya Institute for Public Policy Research and Analysis (KIPPRA) is a senior leadership position responsible for providing strategic legal guidance and ensuring the Institute operates within the legal and regulatory frameworks of Kenya. The role involves drawing legal opinions, vetting contracts, and coordinating legal proceedings to safeguard the Institute's interests. The position also requires steering corporate governance practices and overseeing the legal compliance of the Institute with various national laws and statutes.
Key Responsibilities
- Legal Advisory: Draw legal opinions and provide guidance on statutory, regulatory, and governance matters to the Board and Management.
- Contract Management: Draw and vet contracts, agreements, and other legal documents; ensuring timely execution and inclusion of enforceable dispute clauses.
- Litigation and Representation: Coordinate external advocates, the Attorney General’s office, and regulatory bodies in legal proceedings; represent the Institute in litigation and institutional disputes.
- Compliance: Develop, implement, and review institutional compliance with the Constitution of Kenya, State Corporations Act, Mwongozo Code, Public Procurement and Asset Disposal Act, Employment Act, and other relevant legislation.
- Board Secretarial Services: Organize Board and Committee activities, including preparation of notices, agendas, minutes, and the implementation of board resolutions.
- Governance and Policy: Steering the development and periodic review of governance policies, legal frameworks, and operating procedures; maintaining statutory registers and timely filing of Board resolutions and statutory returns.
- Risk Management: Provide strategic leadership in executing risk management policies to ensure robust systems of accountability, internal controls, business continuity, and succession management.
- Strategic Leadership: Spearhead the development and review of Directorate annual Work Plans, budgets, and Procurement and Assets Disposal plans in line with performance targets and strategic plans.
- Corporate Culture: Foster a corporate culture that promotes ethical practices and good citizenship within the Directorate.
- Capacity Building: Undertaking legal research and conducting training and awareness sessions for staff on legal, governance, and regulatory compliance issues.
- Performance Monitoring: Developing individual work plans, monitoring own performance, and seeking requisite support to ensure delivery of agreed targets.
Qualifications and Person Specifications
For appointment to this grade, a candidate must have:
- A cumulative service period of twelve (12) years, three (3) of which must have been at the grade of Principal Legal Officer or in a comparable position.
- A Bachelor’s of Laws (LLB) degree from a recognized institution.
- A Master’s Degree in Law or any other relevant qualification from a recognized institution.
- Admission as an Advocate of the High Court of Kenya.
- Membership in the Law Society of Kenya (LSK) in good standing.
- Membership in the Institute of Certified Secretaries (Kenya) in good standing.
- Completion of a Management course lasting not less than four (4) weeks from a recognized institution.
- Proven merit and ability as reflected in work performance and results.
- Proficiency in computer applications.
